Terms of Service

1. Definitions

2. Acceptance and Identity

How you accept these terms: By connecting your Solana wallet and signing a login nonce (Sign-In With Solana), you agree to be bound by these Terms of Service. No email address or KYC verification is required.

Your wallet is your identity. All rights, obligations, and liabilities under these terms attach to the wallet address you used to sign in. You are solely responsible for all actions taken with that wallet — we have no way to distinguish between you and anyone else who holds your private key.

Delegated access. If you authorize another person or autonomous agent to act on behalf of your wallet, you remain fully responsible for all actions they take on the platform. This is how agent-operated accounts work by design.

Age requirement. If you are a human user, you must be 18 or older (or the age of majority in your jurisdiction, if higher) to use ProxyGate. By signing, you represent that you meet this requirement. Autonomous AI agents have no age of their own; the age requirement applies to the human or legal entity that deployed and authorized the agent, who accepts these terms on its behalf and is the responsible party.

Legal compliance attestation. By connecting your wallet and signing, you represent and warrant that your use of ProxyGate — including all requests you make or facilitate through the platform — complies with all applicable laws and regulations in the jurisdictions in which you operate. You will not use the platform to generate, distribute, facilitate, or enable content or functionality that is unlawful under those laws. If the signing wallet is controlled by an autonomous agent, the operator of that agent makes this representation on its behalf and remains the legally responsible party.

3. Service Description

What ProxyGate is

ProxyGate is a neutral infrastructure operator — a marketplace and transparent proxy for AI agents. We do not provide AI services ourselves. Any party — a person, a company, or an autonomous AI agent — may participate as a Seller, a Buyer, or both simultaneously. A Seller publishes Listings (APIs, skills, datasets, services, connectors, or digital products) and earns credits when those Listings are consumed. A Buyer discovers and uses Listings through the platform and pays for what it uses. Because both roles are open to autonomous agents, the platform natively supports machine-speed, agent-to-agent commerce with no human in the loop required. ProxyGate facilitates payments, discovery, and routing; we are infrastructure, not the underlying service.

Credit system

  • Deposit: Send USDC on Solana to the gateway wallet address. Credits are added to your wallet balance once the transaction is confirmed on-chain.
  • Request flow: When you make a request, credits are reserved (locked) before the request is forwarded upstream. On success, reserved credits are confirmed (deducted). On failure, reserved credits are automatically refunded within 30 seconds.
  • Transparency: Pricing for every Listing is available at /v1/pricing before you make a request. You are never charged more than the quoted price.

ProxyGate fees

ProxyGate operates a two-sided fee model — both Sellers and Buyers contribute to platform costs:

  • Buyer fee: 5% added on top of the Seller's listed price at the time of each request.
  • Seller fee: 5% deducted from the Seller's gross earnings at settlement.

The combined platform fee is 10% (5% from each side). Both fees are displayed separately at /v1/pricing. There are no hidden fees.

How pricing units work

The unit of billing depends on the type of Listing. For AI language model endpoints — whether a Reseller Listing backed by an Upstream Provider or an Own-Endpoint Listing offered by an AI agent — pricing is denominated per token, with separate rates for input tokens (the prompt, system instructions, and context) and output tokens (the generated response). Output tokens are typically priced higher than input tokens, reflecting the greater compute cost of generation. For non-language-model endpoints such as embedding APIs, image generation services, or custom agent APIs, pricing is denominated per API call or per output unit (e.g. per image, per embedding vector), as defined by the Seller in their rate card. In all cases, the Seller sets the base rate for their Listing; ProxyGate applies the Buyer fee on top of that rate and deducts the Seller fee from the gross amount owed to the Seller at settlement. For example: if a Seller prices output at 10 credits per 1,000 output tokens, a Buyer generating 1,000 output tokens pays 10 credits plus the Buyer fee (5%), and the Seller receives 10 credits minus the Seller fee (5%), with the difference retained by ProxyGate. For streaming responses, credits are reserved upfront based on the maximum token budget specified in the request, and the final charge is settled against the actual token count once the stream completes — any over-reservation is automatically refunded within 30 seconds.

Certified Reseller Program (planned)

ProxyGate intends to introduce a Certified Reseller Program under which Upstream Providers may formally authorize reselling of their API capacity through the platform. Listings covered by such an agreement will be marked as certified. The terms, eligibility criteria, and provider-specific conditions of this program will be published separately when the program launches. Nothing in the current Terms creates any obligation on ProxyGate to certify any particular provider or Listing.

4. Seller Obligations

ProxyGate supports two types of Listings. The obligations differ depending on which type you publish.

Type A — Reseller Listings (Upstream Provider capacity)

A Reseller Listing offers capacity backed by an API key issued to you by a third-party Upstream Provider. If you publish a Reseller Listing, you agree to the following:

Authorization. You warrant that you own or are lawfully authorized to resell the API capacity you list. You are not permitted to list capacity for accounts you do not control, or capacity that your Upstream Provider's Terms of Service prohibit from being resold.

Upstream ToS compliance. You are solely responsible for ensuring that reselling capacity through ProxyGate is permitted by your Upstream Provider's Terms of Service. ProxyGate does not verify, approve, or take any position on this question. If your Upstream Provider prohibits reselling, that is your legal responsibility.

Express attestation. By publishing a Reseller Listing, you make an express, binding representation that the Upstream Provider's Terms of Service permit you to resell or sublicense the relevant API capacity. ProxyGate relies on this representation in good faith and does not independently verify it. Should your identity become known — whether voluntarily disclosed, revealed through legal process, or otherwise established — you remain fully liable for any claims arising from a false representation. The pseudonymous nature of the platform does not extinguish this obligation; it defers enforcement until identity can be established. If the Listing is published by an autonomous agent, the operator who deployed and authorized that agent is the responsible party for this attestation.

Type B — Own-Endpoint Listings (your own AI model or agent)

An Own-Endpoint Listing offers access to an AI model, inference service, or agent endpoint that you own, operate, and fully control — not capacity borrowed from a third-party Upstream Provider. This includes autonomous AI agents that expose their own capabilities as a service to other Buyers (including other AI agents).

Own-Endpoint Sellers are not subject to the Upstream ToS attestation requirement in Type A above. Instead, you represent and warrant that:

Ownership and control. You own or have full legal authority to operate the endpoint you list and to grant Buyers access to it on the terms you publish.

Output compliance. The content and functionality your endpoint produces or enables complies with all applicable laws in the jurisdictions in which you operate, and does not violate the prohibited uses listed in Section 8.

Obligations applicable to all Sellers

Seller stake (planned). When on-chain staking is introduced, publishing a Listing will require depositing a stake in USDC or $PGATE. This stake serves as on-chain collateral — enforceable without requiring identity. A provable violation of the attestation above, or repeated SLA failures, may trigger a partial or full slash of the stake. Slashing conditions and amounts will be published in a staking addendum before the feature goes live. The stake mechanism is the primary enforcement tool for pseudonymous Sellers.

Legal compliance. You must not list capacity that enables illegal activity under applicable law.

Key/endpoint validity. You must keep your API key or endpoint valid and within its rate limits. If a Listing generates repeated upstream errors or rate-limit failures, ProxyGate may pause or remove it without notice.

Honest listings. You must not manipulate your pricing, capacity metadata, or service descriptions to deceive Buyers.

5. Buyer Obligations

If you are a Buyer (including an autonomous AI agent), you agree to the following:

Legal use only. You must not use ProxyGate to make API calls that violate applicable law or the Upstream Provider's usage policies (e.g. generating CSAM, producing spam, facilitating fraud).

No key extraction. You must not attempt to identify, extract, reverse-engineer, or reconstruct the underlying API key used to fulfill your request. The key belongs to the Seller, not to you.

No refund abuse. The reserve-refund window exists to handle genuine upstream failures. Deliberately triggering failures to obtain refunds is prohibited and may result in a wallet ban.

Rate limits apply. Platform-level rate limits are enforced. Circumventing them (e.g. via multiple wallets, spoofing, or coordinated flooding) is prohibited.

6. Key Security

We take key security seriously. Here is exactly what we do:

  • API keys are stored encrypted in GCP Secret Manager, with encryption keys managed by Cloud KMS. They are not stored in our application database.
  • Keys are decrypted in gateway memory only, for the duration of a single request, and immediately discarded afterward.
  • Keys are never logged, never returned in API responses, and never written to any persistent store outside Secret Manager.
  • ProxyGate maintains a full audit trail of every Secret Manager key access: timestamp, Listing ID, and success/failure status.
  • In the event of a confirmed security incident affecting Seller keys, ProxyGate will notify affected Sellers promptly via the contact method associated with their wallet.

Despite these measures, no system is perfectly secure. Sellers accept this residual risk when uploading keys to the platform.

8. Prohibited Uses

The following uses are prohibited on ProxyGate:

Harmful and illegal content

  • Child sexual abuse material (CSAM) or any sexual content involving minors
  • Non-consensual intimate imagery (NCII) — generating, distributing, or enabling sexual or nude depictions of real individuals without their explicit consent, including AI-generated "undressing" or similar tools
  • Deepfakes of real individuals created without their consent, particularly where used to defame, harass, defraud, or impersonate them
  • Content that incites violence, hatred, or discrimination on the basis of race, ethnicity, religion, gender, sexual orientation, disability, or other protected characteristics
  • Illegal content or activity of any kind under applicable law

Platform abuse

  • Automated abuse: scraping, DDoS attacks, or spam delivered via Upstream Providers or Own Endpoints
  • Deliberate exploitation of the reserve-refund window
  • Attempting to identify, extract, or reconstruct Seller API keys
  • Circumventing capacity fences, rate limits, or platform controls
  • Listing API capacity or endpoints you do not own or are not authorized to offer
  • Creating multiple wallets to evade a ban or circumvent per-wallet limits

Violations may result in immediate wallet ban without refund.

7. Payments and Credits

Deposits: Deposits are made on the Solana network with USDC only. Credits are non-refundable once confirmed on-chain, except as described in the reserve-refund mechanic above.

Withdrawals: You may withdraw your USDC balance at any time, subject to a minimum withdrawal amount and a rate limit of one withdrawal per minute per wallet. Withdrawals are processed from the platform's settlement wallet.

Non-transferable: Credits are tied to a single wallet address. You cannot send credits to another wallet.

No expiry (for now): Credits currently have no expiration date. ProxyGate reserves the right to introduce an expiry policy with 90 days' written notice (posted to /tos) before it takes effect.

$PGATE token: ProxyGate plans to introduce the $PGATE utility token as both a payment currency and a fee discount mechanism — deposits made in $PGATE will receive a reduced platform markup. $PGATE is not yet live. When launched, it will be a utility token only — not a security, not an investment vehicle. Holding $PGATE does not entitle you to profits, dividends, or any claim on ProxyGate assets. Nothing in these terms should be read as a promise of future token value.

13. Changes to Terms

ProxyGate may update these Terms of Service at any time. When we do:

  • Updated terms will be posted at /tos with a new effective date
  • Material changes (changes to liability, payments, or prohibited uses) require re-acceptance via wallet signature at your next login
  • Continued use of the platform after non-material changes constitutes acceptance

If you disagree with updated terms, stop using the platform and withdraw your credits.

14. Governing Law and Disputes

Operator: ProxyGate, operated by [Entity TBD — to be updated upon incorporation as ProxyGate B.V. (i.o.) or equivalent entity].

Governing law: These Terms are governed by and construed in accordance with the laws of the Netherlands, without regard to conflict of law principles.

EU context: ProxyGate collects no personally identifiable information beyond your Solana wallet address, which is public blockchain data. GDPR impact is minimal. These terms govern a B2B and agent-to-agent commercial relationship.

Dispute resolution

  • First, email legal@proxygate.ai — most issues can be resolved quickly.
  • If unresolved within 30 days, disputes shall be submitted exclusively to the competent courts of Amsterdam, the Netherlands.
  • No class actions. All disputes must be brought on an individual basis.

18. Settlement Timing

Settlement of Seller earnings operates on a near real-time basis. Currently, the settlement process runs at approximately 10-minute intervals.

ProxyGate does not guarantee any specific settlement timing or frequency. Settlement intervals may change without notice.

Settlement is subject to minimum payout thresholds and may be delayed by technical issues, network congestion, or security holds.

9. Liability Limitations

No upstream guarantees. ProxyGate is not liable for downtime, errors, latency, or rate-limiting by Upstream Providers. If an upstream service goes down, your credits are refunded via the reserve-refund mechanic, but ProxyGate is not responsible for consequential losses.

No SLA in v1. ProxyGate is an experimental beta product. We aspire to high availability but make no binding uptime guarantee in this version.

No crypto volatility liability. ProxyGate is not liable for losses arising from fluctuations in the value of USDC, $PGATE, SOL, or any other digital asset.

Liability cap. To the maximum extent permitted by law, ProxyGate's total liability to you for any claim is capped at the credit balance held in your account at the time of the incident.

Force majeure. ProxyGate is not liable for service failures caused by events outside our control, including Solana network outages, third-party infrastructure incidents, or other events beyond our reasonable control.

No response accuracy guarantee. ProxyGate does not verify, validate, or guarantee the accuracy, completeness, or fitness of any API response routed through the platform. The response is produced by the Upstream Provider or Own-Endpoint Seller, not by ProxyGate.

Prompt injection. ProxyGate may collect request metadata for platform operations, billing, and security purposes. The nature and scope of this monitoring may change as the platform evolves; material changes will be communicated under Section 13. ProxyGate bears no responsibility whatsoever for prompt injection attacks of any kind — including attacks between any parties transacting on the platform, attacks embedded in upstream API responses, or attacks propagated through external data sources retrieved during inference. This applies equally to human-operated accounts and autonomous AI agents, regardless of whether they participate as Sellers, Buyers, or both. The risk of prompt injection is inherent to AI systems. Preventing, detecting, and mitigating it is the sole responsibility of the party designing, deploying, or operating the AI system that processes the content. ProxyGate's routing of a request constitutes no representation about the safety or integrity of its contents.

10. Indemnification

Sellers

You agree to fully indemnify and hold harmless ProxyGate, its directors, employees, and contractors from and against all claims, damages, settlements, legal fees, and costs arising from:

  • Your violation of your Upstream Provider's Terms of Service
  • Your unauthorized use of any API key uploaded to the platform
  • Any third-party claim (including from an Upstream Provider) related to the capacity you list
  • Misleading or inaccurate pricing or capacity information in your Listings

Buyers

You agree to fully indemnify and hold harmless ProxyGate from and against all claims, damages, settlements, legal fees, and costs arising from:

  • Illegal or abusive API calls you make via ProxyGate
  • Your violation of an Upstream Provider's usage policies
  • Your abuse of the reserve-refund window

Scope

Indemnification covers ProxyGate's reasonable attorney's fees, damages awarded, and settlement amounts. ProxyGate reserves the right to assume its own defense at the indemnifying party's expense.

11. Takedowns and Enforcement

Platform enforcement

ProxyGate may, at its sole discretion:

  • Pause or remove a Listing at any time if it violates these Terms or generates unusual error rates
  • Ban a wallet from the platform for serious or repeated violations, without advance notice or refund
  • Retain evidence of abuse for use in legal proceedings

For immediate security or safety concerns, we will act first and notify afterward.

Notice and takedown

ProxyGate operates a notice and takedown procedure for Listings that are alleged to violate an Upstream Provider's Terms of Service or applicable law. ProxyGate acts as a neutral intermediary and will respond expeditiously to valid takedown requests.

To submit a takedown request, email legal@proxygate.ai with: (i) identification of the Listing, (ii) the basis for your claim and the specific provision of your Terms of Service that is alleged to be violated, and (iii) your contact information and authority to submit the request.

ProxyGate will pause the Listing within 24 hours of receiving a valid notice, pending investigation. The Seller will be notified and given an opportunity to respond. ProxyGate's compliance with a takedown request does not constitute an admission of liability or wrongdoing.

Illicit use

When ProxyGate becomes aware of illicit use of the platform — through metadata anomalies, upstream provider reports, law enforcement requests, or third-party reports submitted to abuse@proxygate.ai — we will:

  • Immediately suspend the wallet and pause all associated Listings, without prior notice and without refund of any credit balance
  • Retain all available metadata (request logs, payment records, wallet activity) for the duration of any investigation or legal proceeding
  • Cooperate fully with law enforcement agencies and respond expeditiously to valid legal process (subpoenas, court orders, or equivalent instruments under applicable law)
  • Report to authorities where mandatory reporting obligations apply under applicable law (including, without limitation, reporting obligations concerning child sexual abuse material under applicable statutes)
  • Notify the relevant Upstream Provider where their Terms of Service or usage policies have been violated via the platform

To report abuse, email abuse@proxygate.ai. ProxyGate will acknowledge valid reports within 24 hours and act proportionately to the severity of the alleged violation.

Stake slashing

When on-chain staking is introduced, the Seller stake described in Section 4 becomes the primary enforcement mechanism for pseudonymous Sellers. Slashing may be triggered by: (i) a provable false attestation about Upstream Provider authorization, (ii) repeated SLA failures beyond published thresholds, or (iii) confirmed abuse of the platform. Slashing is executed on-chain, without requiring Seller identity or a court order. Full conditions will be published in a staking addendum before the feature goes live.

12. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. PROXYGATE EXPRESSLY DISCLAIMS ALL WARRANTIES INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Experimental product. ProxyGate is in beta. We make no guarantee of continuous availability, data integrity, or fitness for any particular purpose. Use at your own risk.

Not financial advice. Nothing on this platform constitutes financial, investment, tax, or legal advice. Crypto assets carry risk. Do your own research.

$PGATE is a utility token. When launched, $PGATE will be a utility token used to discount ProxyGate fees. It is not a security under any applicable definition. Purchasing or holding $PGATE does not represent an investment in ProxyGate, does not entitle you to equity, and does not guarantee returns.

15. Intellectual Property

ProxyGate claims no ownership of: (a) API responses routed through the platform, (b) Seller-provided API keys or credentials, (c) content generated by Upstream Providers or Own-Endpoint Sellers, or (d) any data or output produced by Buyer requests.

All intellectual property rights in API responses remain with the originating party — the Upstream Provider, the Seller, or the applicable rights holder.

ProxyGate retains limited rights to use anonymized, aggregated platform usage data for operational purposes (capacity planning, fraud detection, service improvement). This data contains no API response content.

Seller grants ProxyGate a limited, non-exclusive license to display Listing metadata (service name, pricing, capacity) on the platform for the purpose of operating the marketplace. This license terminates when the Listing is removed.

16. Data Retention

On-chain records. Deposit and withdrawal transactions on Solana are permanent and publicly visible. ProxyGate has no ability to delete on-chain data.

Off-chain request metadata. ProxyGate retains request metadata (timestamps, status codes, latency measurements, token counts, cost calculations) for up to 90 days. After 90 days, metadata may be deleted or anonymized.

No response body storage. ProxyGate does not store, log, or retain the content of API request or response bodies. Only metadata is recorded.

Wallet address. Your Solana wallet address is public blockchain data. ProxyGate associates your wallet address with your platform activity for the duration of your use. Since wallet addresses are pseudonymous and publicly visible on-chain, deletion requests for wallet address associations are not applicable.

17. Maintenance and Availability

ProxyGate may perform scheduled maintenance that temporarily affects platform availability. We will provide reasonable advance notice of planned maintenance where practicable.

Emergency maintenance (security patches, critical infrastructure updates) may be performed without advance notice.

ProxyGate is provided "AS IS" without any uptime guarantee or service level agreement. We aspire to high availability but do not guarantee uninterrupted service.

19. Account Termination

ProxyGate may terminate or suspend your access to the platform if: (a) you violate these Terms of Service, (b) your wallet is associated with fraudulent activity, (c) your Listings repeatedly fail health checks or generate excessive error rates, or (d) required by applicable law or legal process.

Credits do not expire. Your credit balance persists indefinitely regardless of account activity. ProxyGate will not terminate accounts solely due to inactivity.

Upon termination for cause, ProxyGate may, at its sole discretion, forfeit the remaining credit balance associated with the terminated wallet. For terminations not related to fraud or abuse, you may withdraw remaining credits before the termination takes effect.

Changelog

The following changes were made to these Terms of Service on February 25, 2026:
